Elizabeth offers broad expertise in matters of U.S. and cross-border taxation. She regularly represents fund sponsors as well as institutional and non-institutional fund investors on matters including fund formation/structuring, drafting and negotiating fund agreements (including ancillary documentation, such as placement memoranda, subscription agreements, and side letters), as well as analyzing and negotiating fund terms for non-U.S. investors. Elizabeth has extensive experience working with tax-sensitive investors such as sovereign wealth funds, institutional and tax-exempt investors. Elizabeth regularly presents to national and international audiences on advanced tax strategies for structuring private investment funds as well as tax and economic considerations for fund investors.

An expert in cross-border and federal corporate and partnership taxation, Elizabeth counsels public and private company clients in numerous industries including emerging companies, health care, transportation innovation and autotech, investment funds, real estate, service partnerships, technology, energy and the financial sector. Elizabeth routinely represents buyers and sellers in mergers, acquisitions and restructurings (ranging from small/mid-market deals to $1B+), advising from the LOI/structuring stage to post-closing operations. Her practice is focused on providing sophisticated and client-friendly transactional and tax structuring guidance.

Elizabeth has practiced as a transactional tax attorney for almost twenty years, including at a top AmLaw firm. She has been a partner at several national mid-size law firms and tax boutiques in the United States. Prior to attending law school at the University of Michigan as a Clarence Darrow Scholar, where she graduated magna cum laude and was awarded membership in the Order of the Coif, Elizabeth studied literature and philosophy at Oxford, and has also completed post-graduate coursework in physics, advanced mathematics, corporate finance, and FinTech. She received a Bachelor of Arts degree from Swarthmore College in Pennsylvania, a top-ranked liberal arts college.
