We advise hedge fund managers across all asset classes, ranging from startup and emerging managers to institutional fund advisers. We partner with our clients to structure domestic funds as well as offshore funds in the Cayman Islands, British Virgin Islands and other non-U.S. jurisdictions.

Our vast experience working with hedge fund managers includes the following services:

  • Fund Structure: Advising managers regarding overall fund structure, such as manager compensation, withdrawal rights and considerations under federal securities laws (Securities Act, Investment Company Act and Investment Advisers Act).
  • Hedge Fund Strategy: Working with managers to accurately describe their hedge fund strategies and asset classes, including long-short equity, fixed income, multi-strategy, quantitative, sector-specific, funds-of-funds and more.
  • Fund Offering Documents: Preparing customized fund offering documents, including term sheets, private placement memoranda, limited partnership agreements and subscription documents for both individual and institutional investors.
  • Regulatory Filings: Preparing initial regulatory filings on behalf of managers and funds, including entity formation filings, Form D filings and state “blue sky” notices.
  • Vendor Agreements: Assisting managers with selecting and negotiating vendor agreements, including fund administrators, auditors, brokers and custodians.
  • Comprehensive Manager Support: Our capabilities include assisting managers with investor side letter agreements, seed capital arrangements and other investor negotiations. We also advise clients on the use of broker-dealers and finders in connection with capital raising and negotiating third-party marketing agreements.

In addition to our hedge fund services, we also regularly assist managers with structuring commodity pools, co-investment / special purpose vehicles and other alternative investment vehicles.
