What is Regulation A+?
On July 19, 2015, the Securities and Exchange Commission (SEC) instituted a significant amendment to Regulation A, an existing registration exemption underthe Securities Act of 1933(Securities Act). As mandated by the Jumpstart Our Business Startups Act (JOBS Act), the SEC increased the amount of capital that startup and emerging companies could raise under Regulation A from $5 million to up to (i) $20 million for Tier 1 offerings and (ii) $50 million for Tier 2 offerings, earning the nickname Regulation A+ (Reg A+).
